> Draft for lawyer review

Last updated: 2026-11-03

The agreement between your business and Arcadium Data for the scraper API, the MCP server and prepaid credit.

DRAFT. Lawyer review pending. Nothing is sold under these terms until this notice is removed. Items marked [L] are open questions for the lawyer.

## 1. Who you are dealing with

Arcadium Data is a brand of AENIGMA EOOD, a company registered in Bulgaria (UIC 206749528, VAT BG206749528, Mladost 1, 1784 Sofia). In these terms "we" means AENIGMA EOOD and "you" means the business that opens an account. Write to [hello@arcadiumdata.io](mailto:hello@arcadiumdata.io) about anything in these terms.

## 2. Businesses only

We sell to businesses, not to consumers. When you sign up you confirm that you act for a business, trade or profession, and that the person signing up may bind that business. Rights that the law gives only to consumers, such as the 14-day right of withdrawal, do not apply. [L1]

If you are in the EU, we check your VAT ID in the European Commission's VIES system before you can buy credit. We refuse a top-up when the VAT ID is invalid or when VIES cannot answer. A Bulgarian business gives its company number (EIK) instead. [L2]

## 3. Your account and your keys

- You sign in with a one-time link sent to your email address. There is no password.
- One account per email address. You keep the details of your company (name, country, VAT ID) correct.
- You create API keys in your account. We store only a keyed hash of each key, so we cannot show you a key again after it is created. Treat keys like passwords. You are responsible for every call made with your keys until you revoke them.
- Tell us at once if you think a key has leaked. Revoking a key in your account stops it on the next request.

## 4. What the service does

We run scrapers that read public web pages and return the results as structured rows in our own format, through a REST API and an MCP server. Each scraper's page shows what it collects, its price and its recent check results.

- We collect only pages that anyone can open without an account. Our scrapers do not log in, do not use accounts on the sites they read and do not solve captchas.
- Our scrapers are built not to return personal data. Section 8 says what that means for you.
- Websites change. A scraper that works today can return fewer rows or stop working tomorrow. We check every listed scraper against its live site on a schedule and publish the results on the status page.
- We may add, change or withdraw scrapers. We withdraw a scraper within 24 hours when a site owner asks us to stop (see our [takedown policy](/legal/takedown/)). Unused credit stays in your account when a scraper is withdrawn.
- The scrapers run on cloud compute and proxy infrastructure that we rent. The staff of that provider can access run inputs and results to give support and to detect abuse of their platform. [L3]

## 5. Prepaid credit and prices

- You pay in advance by buying credit in US dollars. There is no subscription and no minimum spend.
- Each scraper shows one price per 1,000 rows. Some scrapers also show a small start fee per call. You see the price before you start a run.
- When you start a run we hold enough credit to cover its limit. When the run ends we charge for the rows it delivered and release the rest of the hold.
- You pay only for delivered rows. A run that fails or returns no rows costs nothing, start fee included. Repeat rows within one run are free. [A1]
- When a run reaches its time limit, the rows it delivered up to then are charged.
- Credit is valid for 12 months from your most recent top-up. Each new top-up extends all of your remaining credit by another 12 months from that date. Credit that has not been used 12 months after your last top-up expires.
- We may give bonus credit, for example on larger packs. Bonus credit is spent after paid credit, cannot be refunded and expires with the rest of your credit. [L4]
- Prices for runs you have already started do not change. We can change prices for future runs; the new price is shown before you run.
- Prices do not include VAT. VAT is added where the law requires it. [ACC]
- Whether prepaid credit counts as electronic money or as a voucher is an open question. [L5]

## 6. Refunds

- You can ask for a refund of unused paid credit within 30 days of the top-up that bought it. We refund it to the card or account you paid with. Write to [hello@arcadiumdata.io](mailto:hello@arcadiumdata.io) from the email address on your account.
- After 30 days, unused credit is not refunded, except where the law requires it. [L6]
- Credit that has been spent on delivered rows is not refunded, unless we charged you by mistake. If you think a charge is wrong, tell us within 60 days and we will check it against our run records. [L7]
- If you dispute a payment with your bank or card issuer, we freeze the account until the dispute is resolved.

## 7. Limits and fair use

We set spending limits, rate limits and a limit on parallel runs for each account, to protect you from runaway costs and to protect the sites we read. Your current limits are shown in your account and in the API documentation. Write to us if you need higher limits. Our [Acceptable Use Policy](/legal/acceptable-use/) is part of these terms.

## 8. Using the data

- You decide what you do with the rows you receive, and you are responsible for using them lawfully. That includes the rights of the owners of the websites and of the content in the rows, such as copyright and database rights. [L8]
- We grant you a non-exclusive, worldwide, perpetual right to use, change and combine the rows you paid for, to the extent we hold any rights in them. We give no promise that a third party holds no rights in them. [L8]
- Our scrapers remove personal data such as names, email addresses, phone numbers and links to personal profiles. Filters can miss things. If you find personal data in a row, do not use it, delete it and tell us so we can fix the scraper. Business contact details published by a business on its own listing, such as a shop's phone number, can appear where a scraper's page says so.
- You will not use the rows to identify, profile or contact individual people.
- You will compensate us for claims by third parties that arise from your use of the rows in breach of these terms or of the law. [L9]

## 9. Availability and support

We aim to keep the API and the scrapers running, but we give no uptime guarantee. Our [status page](/status/) shows the result of our latest checks. Support is by email at [hello@arcadiumdata.io](mailto:hello@arcadiumdata.io), in English.

## 10. Liability

- We are not liable for lost profit, lost revenue, lost data, or indirect or consequential loss.
- Our total liability under these terms in any 12 months is limited to the amount you paid us in those 12 months. [L10]
- These limits do not apply where the law does not allow them, for example for intent or gross negligence. [L10]
- The data is provided as it was found on the source page on the day it was collected. We do not promise that it is complete, current or correct.

## 11. Suspension and closing your account

- We may suspend an account or a key without notice to stop abuse, a security problem, a payment dispute, or use that breaks these terms or the Acceptable Use Policy. We tell you why unless the law or an investigation prevents it.
- You can delete your account at any time in your account settings. Deleting the account removes your sign-in data, company data and keys. Unused paid credit inside its 30-day refund window can be refunded on request before you delete the account. Our accounting records are kept as the law requires.
- We may end the service with 30 days' notice by email. In that case we refund unused paid credit, whatever its age. [L11]

## 12. Sanctions

You confirm that your business is not subject to EU, UN, UK or US sanctions and is not owned or controlled by anyone who is. We may refuse or end the service where sanctions law requires it. [L12]

## 13. Changes to these terms

We record the version of these terms you accepted. When we change them we email you at least 30 days before the change takes effect, except for changes required by law. If you do not agree, you can stop using the service and ask for a refund of unused paid credit, whatever its age. [L13]

## 14. Law and courts

Bulgarian law governs these terms. The courts of Sofia, Bulgaria, decide disputes. [L14]

## Questions for the lawyer

Remove this section and every [L], [A] and [ACC] marker before publishing.

- [L1] Is a sign-up declaration ("I act for a business") enough to exclude consumer rights under Bulgarian and EU law, given that we do not verify non-EU businesses? What do we do with an EU buyer who has no VAT ID?
- [L2] Is it acceptable to refuse service when VIES is down, and to accept an EIK without a VIES check for Bulgarian buyers?
- [L3] Our engine provider's terms let its staff access run inputs and outputs (support, abuse checks) and give it ownership of usage data derived from them. Is this disclosure enough, and is it compatible with any confidentiality we promise customers? Should we name the provider here?
- [L4] Can bonus credit be excluded from refunds and spent last?
- [L5] Does refundable prepaid credit count as electronic money under the Bulgarian Payment Services and Payment Systems Act (and PSD2/EMD2)? If yes, how do we restructure it (for example, non-refundable after 30 days, usable only with us)?
- [L6] Is "no refund after 30 days" and expiry 12 months after the last top-up valid for business customers in Bulgaria?
- [L7] Is a 60-day window to dispute a charge reasonable?
- [L8] What licence can we give over rows that come from third-party websites? How do the EU database right (Directive 96/9/EC) and InfoSoc Art. 6 affect us and our customers? Should we restrict republishing whole databases?
- [L9] Is a customer indemnity enforceable against foreign business customers, and should it mirror the indemnity we give our engine provider?
- [L10] Is a cap equal to 12 months of fees valid under Bulgarian law (Obligations and Contracts Act, Art. 94 on intent and gross negligence)?
- [L11] Is 30 days' notice enough to end the service?
- [L12] Wording and scope of the sanctions clause; do we need screening at sign-up?
- [L13] Is notice by email plus a refund right enough to change terms for existing customers?
- [L14] Bulgarian law and Sofia courts for customers outside the EU: enforceable, or do we need arbitration?
- [ACC] VAT treatment of prepaid credit (single-purpose or multi-purpose voucher) and the invoice route.
- [A1] The billing code must charge nothing, start fee included, for a run with no rows. Confirm before publishing.
